Who we are

Overdue Founder is operated by Samuel Matson, a sole proprietor in Florida, United States. Contact us at support@overduefounder.com.

These Terms govern your account, membership and use of overduefounder.com. Review them before creating an account or purchasing a membership. Your purchase is also governed by the plan details shown at checkout and our Refund and Cancellation Policy. Our Privacy Policy explains how we handle personal information.

Your account

You must be at least 18 and legally able to enter into this agreement. Provide accurate account information, keep your sign-in credentials secure and tell us promptly if you suspect unauthorized access. A membership is for one individual. Do not share, sell or transfer your account or give other people access to paid materials through it.

You remain responsible for activity you authorize through your account. We may require reasonable verification to protect your account or process a sensitive request.

What your membership includes

Your membership gives you access to the published courses and member features included in the plan you purchase, while your membership is active. It is a subscription, not a purchase of ownership or lifetime access. Your order confirmation identifies your plan, price and billing interval.

Read the course descriptions and availability labels before buying. Previews, planned courses and sections marked as unfinished or coming soon are not completed lessons. Do not purchase in reliance on an unpublished feature or an estimated release date. New content, individual coaching, live calls, third-party subscriptions and premium benefits are included only when expressly listed in the plan you buy. A sold-out plan cannot be purchased.

We may maintain, update or replace content and features. We will not use changes to deny benefits we have expressly promised for an already-paid period. If we permanently discontinue a paid service and cannot provide the remaining paid access, we will refund the unused prepaid portion, together with any additional remedy required by law.

You need a compatible modern browser and an internet connection. Internet access and any third-party tools, services, advertising or business expenses are your responsibility. Downloads are available only where expressly offered; streaming access does not authorize downloading or copying videos.

Prices, renewal and cancellation

The standard membership is US$49.99 per month or US$479.90 per year, plus any applicable tax shown at checkout. The annual plan is charged as one annual payment, not monthly installments. Your selected subscription automatically renews for the same billing interval until canceled. By affirmatively agreeing to the subscription at checkout, you authorize the initial charge and recurring charges for your selected plan.

Cancel renewal at any time before the next renewal charge through Manage billing on your Billing & cancellation page. If you cannot access that page, email support@overduefounder.com from your account email address. You do not need to give a reason. Cancellation stops future renewals; access ordinarily continues until the end of the period already paid for. The Refund and Cancellation Policy explains when a payment may be returned.

We will provide renewal notices and confirmations where required by law. Any subscription price increase will apply only to a future billing period after advance notice and any consent required by law. You can cancel before the change takes effect. A failed payment may lead to payment retries and suspension or termination of paid access. We will not treat a failed payment as permission to create a new plan or add charges you did not authorize.

Education, examples and outcomes

Our courses provide general business education. They do not provide personalized legal, tax, accounting, investment or other licensed professional advice. Seek qualified advice when your circumstances require it.

Starting and running a business involves risk. We do not guarantee income, profit, employment, customers, business success or a particular result. Examples, case studies and testimonials illustrate particular situations; they do not predict your results. Fictional or simulated examples will be identified as such. You are responsible for evaluating information, making your own decisions and complying with laws that apply to your activities. Nothing here limits responsibility for misleading statements or other liability that cannot lawfully be excluded.

Course materials and permitted use

We and our licensors retain rights in the videos, lessons, worksheets, branding, software and other course materials. While you have lawful access, you receive a limited, personal, nonexclusive and nontransferable license to use them for your own learning and to apply what you learn in your own business.

Where a worksheet or template is expressly offered for download, you may use and adapt it for your own business, subject to any separate license supplied with it. You may not resell, republish or distribute the course materials or make them available to other learners. Do not record or scrape lessons, bypass access controls, publicly share protected files or use course content to build a competing training library without our written permission. These restrictions do not remove uses or rights that applicable law does not allow us to restrict.

Community participation and submitted content

Keep contributions lawful, relevant and respectful. Do not post spam, threats, harassment, unlawful discrimination, misleading promotions, stolen material or someone else's private information. Do not upload information you lack permission to share.

You keep ownership of your own contributions. You give us a nonexclusive license to store, reproduce and display them only as reasonably needed to provide, secure and moderate the service and honor your sharing choices. Posting to a community makes that contribution visible to the audience indicated in the interface. We do not acquire ownership of your reviews. We will obtain separate permission before using a private contribution as a public advertisement or testimonial.

We may remove content or limit participation that violates these rules, threatens security or is unlawful. Honest criticism and lawful reviews are allowed. We do not guarantee that community contributions are accurate, and other members do not speak for us.

Third-party services

Links to outside products and services are provided for convenience. Those services have their own terms, prices and privacy practices. They are not included in your membership unless expressly stated. We do not control their availability or performance. Any material referral or affiliate relationship will be disclosed where relevant.

Suspension and termination

We may suspend access when reasonably necessary to investigate account compromise, unlawful activity, nonpayment or a material breach of these Terms. We may terminate access for a serious or repeated violation. Where reasonable and safe, we will explain the issue and provide an opportunity to correct it. Actions taken to protect the service do not remove refund or other rights required by law.

If we end a paid membership for our convenience rather than your breach, we will stop renewal and refund the unused prepaid portion. A substantiated chargeback or refund may end access associated with the reversed payment. You retain your right to raise a legitimate payment dispute.

Service limitations and liability

We take reasonable care in providing the service, but do not promise that it will be uninterrupted, error-free, or suitable for every business. Except for promises expressly made to you and protections that law requires, the service is supplied as available without additional warranties, to the extent permitted by law.

To the extent permitted by law, we are not liable for indirect or consequential losses, such as lost business opportunities or anticipated profits. Our total liability for claims arising from the service will not exceed the amount you paid us for the service during the 12 months before the event giving rise to the claim.

These exclusions and limits do not apply to fraud, willful misconduct, gross negligence, death or personal injury caused by negligence, or any other liability or consumer right that cannot lawfully be excluded or limited. They do not limit a refund or remedy expressly promised in these Terms or required by law.

Changes and disputes

We may update these Terms for legal, security or product changes. We will date the revised version and give reasonable advance notice of material changes affecting your membership. Changes do not apply retroactively to a dispute or remove benefits already purchased. Where a change requires consent, we will request it. You may cancel future renewal if you do not accept a change.

Florida law governs these Terms, except that applicable mandatory consumer protections in your place of residence continue to apply. Courts with lawful jurisdiction may hear disputes; nothing here requires you to give up a court or remedy that applicable law guarantees. Contact support@overduefounder.com if there is a problem so we can try to resolve it. Contacting support is not a condition of exercising a legal right.

If a provision is unenforceable, the remaining provisions continue to apply to the extent legally permitted. A failure to enforce a provision immediately does not waive it.

We’re here to help.
